1. By ordering or purchasing Products through the Online Store, the Licensee agrees to these Rules.
2. The Seller has the right to make changes to these Rules at any time, as well as to the Product Description, including its price.
3. The Licensee's acceptance of the public offer, of which these Rules are a part, is made by paying for the Products in accordance with the terms of the order, which is simultaneously considered an expression of the Licensee's intention to purchase the Products. From the moment the Licensee accepts the offer, the contract for the purchase of paid Products by the Licensee is considered concluded.
The moment of payment for Products is considered to be the receipt in full of the corresponding amount of funds to the Seller's current account.
4. In order to purchase Products in the Online store, the Payer makes an order for the purchase of Products. The order is processed using the appropriate interface located on the pages of the Online store.
When placing an order, the Payer provides the Seller with the following information:
- last name and first name for individuals;
- full name in accordance with the Charter of the organization for legal entities;
- the email address.
The Payer bears full responsibility for providing incorrect information, which resulted in the inability of the Seller to properly fulfill its obligations to the Licensee.
5. The Payer pays for the Products at the price set by the Description of the relevant Products on the pages of the Online Store, in the manner and within the time agreed upon by the Payer at the time of placing the order.
6. If there is such an agreement, the Products ordered by the Payer, or part of it, must be delivered by the Seller on the terms and within the time limits specified by the Seller when placing the order.
The delivered Products are transferred to the Payer at the address indicated by him, and in the absence of the Payer — to any person who presented a receipt confirming the fact of payment for the Products.
7. If it is impossible to sell the Products paid for by the Payer, the Seller undertakes to notify the Payer by sending a message to the email address specified by the Payer. In this case, further relations between the parties are determined individually.
8. The Products are considered to have been transferred to the Payer and accepted by the Payer from the moment the Products are sent to the Payer via electronic communication. The Seller has the right not to transfer unpaid Products to the Payer.
9. If the rights to use the results of intellectual activity are transferred to the Buyer as part of the ordered Products, such rights are transferred to the Payer on the following conditions::
- The transfer is based on a simple (non-exclusive) license.;
- the value of the transferred rights is determined by the Product Description;
- the scope of the transferred rights is limited by the terms of the end user license agreement;
- The term of transfer of rights and the territory to which the rights are transferred are determined by the end user license agreement.
10. The Seller has the right, simultaneously with the transfer of the rights to use computer programs, in accordance with clause 9, to provide the Payer with material media in which the relevant Programs are expressed, as well as documentation, technical protective equipment and other accessories necessary for the effective use of the Programs. At the same time, the cost of such material media and accessories is taken into account in the cost of the rights.
11. The Seller is not responsible for damage caused to the Licensee as a result of improper use of the Product.
12. The Seller has the right to assign or otherwise transfer his rights and obligations arising from his relationship with the Licensee to third parties, provided that the rights and interests of the Licensee are respected.
13. The Buyer guarantees that at the time of sale of the Product he has full legal capacity and the necessary powers for purchase by the Licensee.
14. The Seller undertakes to ensure the confidentiality of the Payer's personal data in accordance with the legislation of the Russian Federation in the field of personal data. The Seller undertakes not to disclose the information received from the Payer, except for the provision of information by the Seller in accordance with the requirements of current legislation, as well as to agents and third parties acting on the basis of an agreement with the Seller to fulfill obligations to the Payer.
The Seller is not responsible for the disclosure of information provided by the Payer on the pages of the Online store in a publicly accessible form.
15. Russian law applies to the relationship between the Seller and the Payer. All disagreements are resolved through negotiations, and if it is impossible to resolve disagreements through negotiations within 30 calendar days from the date of their occurrence, the Seller and/or the Payer have the right to apply to the court at the Seller's location.
